To be an authorized affiliate of aquaberkeyfilters.ca, you agree to abide by the terms and conditions contained in this agreement.

1.	Overview
This Agreement contains the complete terms and conditions that apply to becoming an affiliate in the AQUA BERKEY Affiliate Program. The purpose of this Agreement is to allow HTML linking between your affiliate links and the aquaberkeyfilters.ca web site. Please note that throughout this Agreement, "we," "us," and "our" refer to Aqua Health Products Inc, the owner of the aquaberkeyfilters.ca website, and "you," "your," and "yours" refer to the affiliate.

2.	Affiliate Obligations
2.1.	To begin the enrollment process, you must complete and submit an online application at https://aqua.idevaffiliate.com/. The application will be manually reviewed by Aqua Health Products management, and you will receive a confirmation email with our decision. We reserve the right to reject any application at our sole discretion and without justification if we judge that your application is not a good fit for our brand and not aligned with our company values. 
2.2.	As a member of the AQUA BERKEY Affiliate Program, you can only have one (1) account. Self-referrals are strictly prohibited. You may not click on your own banners and/or links to purchase our products for yourself.  Remember, the iDevAffiliate software places cookies on a user’s devices and tracks IP addresses.
2.3.	You may not create or design your website or any other website that you operate, explicitly or implied, in a manner which resembles our website nor use a domain name resembling aquaberkeyfilters.ca (including misspellings and variations thereof) which could lead customers to believe that you are AQUA BERKEY FILTERS, Aqua Health Products, or any other affiliated business.
2.4.	As a member of the AQUA BERKEY Affiliate Program, you will have access to the AQUA BERKEY Affiliate Dashboard at https://aqua.idevaffiliate.com. Here you will be able to review Program details, get your affiliate link, download banners and HTML code that includes your affiliate link for creatives that will point to aquaberkeyfilters.ca, browse and get tracking codes for our coupons and deals. 
2.5.	In order for us to accurately keep track of all guest visits from your site to ours, you must use your unique affiliate URL or the HTML code that we provide in the AQUA BERKEY Affiliate Dashboard for each banner, text link, or other affiliate link we provide.  It is the sole responsibility of the affiliate to make sure the links have been integrated correctly into their website, blog, social media post or other publication.  
2.6.	It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it be a written piece, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person's copyrighted material or other intellectual property in violation of the law or any third party rights.
2.7.	You must have a physical address in Canada to become an AQUA BERKEY affiliate and to continue to participate in the program.  If you move to another country than Canada after you have been approved as an affiliate, the Agreement will be terminated.

3.	Aqua Health Products (Aqua Berkey Filters) Rights and Obligations
3.1.	We have the right to monitor your site to determine if you are following the terms and conditions of this Agreement or to make sure that your links to our website are appropriate. We may notify you of any changes to your site that we feel should be made.  If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the AQUA BERKEY Affiliate Program.
3.2.	We reserve the right to terminate this Agreement and your participation in the AQUA BERKEY Affiliate Program immediately and without prior notice should you commit fraud in your use of the AQUA BERKEY Affiliate Program or should you abuse this program in any way. If such fraud or abuse is detected, we shall not be liable to you for any commissions for such fraudulent sales.

4.	Modification of the terms and conditions
We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified of the changes by email and will be required to review and accept the new terms and conditions when you next log in to the Affiliate Dashboard. Modifications may include, but are not limited to, changes to the AQUA BERKEY Affiliate Program rules or changes to the payout procedures.  You must agree to the new terms and conditions to continue to use the Affiliate Dashboard and to get paid commissions as an AQUA BERKEY affiliate.

5.	Term of the agreement
This Agreement shall begin from the time of our acceptance of your affiliate application and shall end when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. If the Agreement is terminated by an affiliate in good standing, commissions will be paid out for sales generated by your affiliate link, up until the date of termination notification, even if the balance owed is less than CAD $50. Affiliates found in non-compliance with the membership and affiliate Terms & Conditions will be immediately terminated without notice. If the termination is due to non-compliance with the terms and conditions set out herewith, no outstanding commissions will be paid out to the affiliate.  Upon the termination of this Agreement for any reason, you agree to immediately cease use of, and remove from your site all graphics, banners, logos, and all other marketing materials provided by or on behalf of us to you in connection with the AQUA BERKEY Affiliate Program.

6.	Payment of commissions
We use iDevAffiliate.com as our affiliate tracking software.  This program allows us to determine the commissions earned for each affiliate. Commissions are paid to affiliates as a percentage of the value of products sold to a lead that you referred to us through your personal affiliate link and the percentage can go up as well as down. Commissions are paid on gross sales, including discounts but excluding tax and shipping where applicable. Commissions are paid within 30 days for the prior month after your request if the sum of commissions exceeds the minimum transfer amount of CAD $50.  We reserve the right to modify or amend the AQUA BERKEY commission structure for any reason and at any time.  Notifications of such changes, should they occur, will be sent to affiliates by e-mail.  Your continued link to your affiliate site will be considered as acceptance of these changes.  Money credited to Your Account does not accrue interest. In the event of a void order, we may recover from you the corresponding commission previously credited to your account. The void commission will be immediately deducted from your account balance. In the event that your account balance is less than the void commission, the void commission will be deducted against your future earnings.

7.	Promotion Restrictions
Certain forms of advertising are always prohibited. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our brand name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote aquaberkeyfilters.ca as long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, when you post to news groups that welcome commercial messages, you must clearly represent yourself and your web sites as independent from aquaberkeyfilters.ca. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this agreement and your participation in the AQUA BERKEY Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.

8.	Disclaimer
Aqua Health Products makes no express or implied representations or warranties concerning the aquaberkeyfilters.ca website or the services provided therein.  In addition, we make no representation that the operation of our website will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or errors.

9.	Confidentiality
All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked "Confidential," will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.

10.	Miscellaneous
10.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Aqua Health Products Inc. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your website or otherwise, that reasonably would contradict anything in this Section.
10.2. This Agreement shall be governed by and interpreted in accordance with the laws of the province of Quebec, Canada.
10.3. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.
10.4. This Agreement represents the entire agreement between us and you, and shall supersede all prior agreements and communications of the parties, oral or written.
10.5. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
